Product Terms of Service
Terms governing use of Apps4x and other Faaz software products.
These Product Terms of Service (“Product Terms”) apply to your organisation’s access to and use of software products provided by Faaz Technology Solutions Pvt Ltd (“Faaz”), including Apps4x Platform, Apps4x E-Invoice, and related modules, updates, and documentation (collectively, the “Products”).
These Product Terms supplement your order form, statement of work, licence agreement, or other signed contract (“Agreement”). If there is a conflict, the Agreement prevails. By installing, accessing, or using the Products, you agree to these Product Terms on behalf of your organisation.
1. Licence and Access
Subject to payment and compliance with these Product Terms, Faaz grants your organisation a non-exclusive, non-transferable licence to use the Products for your internal business operations as specified in the Agreement. Unless expressly agreed, you may not sublicense, resell, or make the Products available to third parties except your authorised users and contractors under confidentiality obligations.
Deployment may be on-premises, private cloud, or hosted environments as defined in your Agreement. User accounts and credentials must be assigned to named or role-based users as contracted.
2. Products Covered
- Apps4x Platform: enterprise application platform for workflow, case management, integrations, and custom business applications
- Apps4x E-Invoice: ZATCA Wave 2 e-invoicing, validation, submission, ERP integration, and compliance reporting
- Related components: APIs, connectors, admin consoles, and updates delivered as part of the Product subscription or licence
3. Acceptable Use
You agree to use the Products lawfully and in accordance with our acceptable use standards. You must not:
- Reverse engineer, decompile, or attempt to extract source code except where permitted by law
- Circumvent security, licensing, or usage limits
- Use the Products to store or transmit unlawful content or infringe third-party rights
- Perform penetration testing without prior written authorisation
- Use the Products in a manner that degrades service for other clients in shared environments
Additional acceptable use requirements may apply for AI-enabled features — see our AI & Data Use Policy.
4. Client Data and Privacy
You retain ownership of data you input into the Products (“Client Data”). Faaz processes Client Data to provide, secure, and support the Products as described in the Agreement and our Data Processing Addendum and Privacy Policy.
You are responsible for the accuracy, legality, and rights to use Client Data, including personal data of your employees, customers, and counterparties.
5. ZATCA and Regulatory Compliance (E-Invoice)
Apps4x E-Invoice is designed to support ZATCA Phase 2 e-invoicing requirements. Faaz will maintain Product functionality aligned with published technical and regulatory requirements as agreed in your support and maintenance terms.
Important: You remain responsible for:
- Your organisation’s statutory tax and invoicing obligations in Saudi Arabia
- Correct configuration, master data, certificate management, and operational processes
- Timely submission and remediation of rejected or failed invoices
- Engagement with ZATCA and advisers regarding your compliance status
Faaz does not provide legal or tax advice. Product use does not by itself guarantee regulatory approval or zero penalties.
6. Integrations
The Products may integrate with ERPs, banks, government portals (e.g., ZATCA, Muqeem, Qiwa), and third-party APIs. You authorise such integrations when enabled. Faaz is not liable for changes, outages, or policy changes by third-party providers outside our reasonable control.
7. Support, Updates, and Availability
Support levels, response times, and maintenance windows are defined in your Agreement or SLA. Faaz may deliver patches, updates, and new versions to improve security, compliance, and functionality. Scheduled maintenance will be communicated where practicable.
Target availability and service credits, if any, are specified in your SLA — not in these Product Terms.
8. Intellectual Property
Faaz and its licensors retain all rights in the Products, including software, documentation, platform components, and pre-existing materials. Custom configurations and client-specific extensions may be addressed separately in your Agreement.
Feedback you provide may be used by Faaz to improve products without obligation to you, unless otherwise agreed in writing.
9. Confidentiality
Each party will protect the other’s confidential information using reasonable care and use it only for purposes of the engagement. This obligation survives termination.
10. Warranties
Faaz warrants that the Products will materially conform to documented specifications during the subscription or warranty period, when used as intended. EXCEPT AS EXPRESSLY STATED IN THE AGREEMENT, PRODUCTS ARE PROVIDED WITHOUT OTHER WARRANTIES. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.
FAAZ’S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE PRODUCTS SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE PRODUCTS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR AS OTHERWISE STATED IN YOUR AGREEMENT.
12. Term and Termination
These Product Terms remain in effect for the term of your Agreement. Either party may terminate for material breach if not cured within the period stated in the Agreement. Upon termination, your licence ends and you must cease use except as needed for data export or legal retention. Provisions that by nature should survive (IP, confidentiality, liability limits, data return) will survive.
13. Export and Sanctions
You represent that you are not prohibited under applicable export control or sanctions laws from receiving the Products.
14. Governing Law
Governing law and dispute resolution are as set out in your Agreement. If silent, the laws of India apply and courts in India have exclusive jurisdiction, unless mandatory law requires otherwise.
